vectortshirtdesigns Agreement

PURPOSE: This Agreement sets forth the terms and conditions under which [Insert Name of Licensor] grants to [Insert Name of Licensee] the right to use the [Insert Description of Digital Product or Service].

SCOPE OF LICENSE: Vectortshirtdesigns grants to [Customer Name] a limited, non-exclusive, non-transferable license to use the [Insert Description of Digital Product or Service] for [Insert Purpose of Use].

LICENSE FEE: [Customer Name] agrees to pay Vectortshirtdesigns the sum of [Insert License Fee] for the right to use the [Insert Description of Digital Product or Service]. The License Fee shall be due and payable [Insert Payment Terms].

TERMINATION: This Agreement shall commence on the date hereof and shall continue in full force and effect until terminated. Either party may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. Upon termination, [Insert Name of Licensee] shall immediately discontinue use of the [Insert Description of Digital Product or Service] and destroy all copies in its possession or under its control.

WARRANTY DISCLAIMER: [Insert Name of Licensor] makes no warranties, express or implied, including without limitation the implied warranties of merchantability and fitness for a particular purpose, with respect to the [Insert Description of Digital Product or Service].

LIMITATION OF LIABILITY: [Insert Name of Licensor] shall not be liable for any damages, including without limitation, direct, indirect, special, incidental, or consequential damages, arising out of the use or inability to use the [Insert Description of Digital Product or Service].

GENERAL PROVISIONS: This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, understandings and agreements between the parties, whether written or oral. This Agreement may not be amended or modified except in writing signed by both parties.

DIGITAL SIGNATURE. By clicking the “Agree” button, Licensee acknowledges that it has read this Agreement, understands it, and agrees to be bound by its terms and conditions.
